The Finance Practice Group at Neal Gerber Eisenberg offers sophisticated and diverse legal services to borrowers and lenders of secured and unsecured commercial loans. The firm’s representation spans the full range of financial legal services including the structuring, negotiation and documentation of new and refinanced credit facilities, the workouts of distressed credits, representations in foreclosure and pre-bankruptcy cases and certain banking regulatory matters.

Our attorneys have successfully concluded transactions involving asset-based financing (including commercial mortgage-backed securities and securitized loans, real estate secured loans, equipment, inventory and receivables financing and lease financing), military housing privatization financing, structured financing, cash flow and acquisition facilities, syndicated credits, Eurodollar multi-option credit facilities, subordinate and mezzanine debt with associated warrants and equity coinvestments, letters of credit and bond financing (including industrial development, housing and IDFA bonds).

The Finance Practice Group’s clients include the country’s second largest publicly held REIT, as well as other major commercial real estate developers, owners and investment funds. Recently, our attorneys represented an affiliate of our regional shopping center REIT client with respect to the issuance of $2.55 billion of commercial mortgaged backed securities ("CMBS") secured by 29 properties (to date, one of the largest CMBS transactions).  The firm also represents several private developers on financing matters for joint ventures formed with the United States Army for privatization and redevelopment of military family housing projects under the Residential Communities Initiative.

On the lender’s side, members of the group represent regional and national bank and non-bank lending institutions in a full range of commercial credit transactions from middle market financings, some of which include pre-negotiated loan documents to minimize cost and maximize efficiency, to large, syndicated credits, including complex, multi-level financing arrangements on behalf of agents that entail complex structuring, sophisticated documentation and extended negotiations.
