Abstract: This full day program will analyze various executive compensation issues facing public companies as well as issues facing private companies. The morning panel will focus primarily on public companies, including the taxation of deferred compensation, the disclosure of compensation to key officers on SEC proxy statements and trends in retaining executives in public companies. The afternoon panel will focus primarily on private companies, including the taxation and valuation of equity compensation offered to key employees, the attention that needs to be paid to executive compensation in various corporate transactions and the hiring and firing aspects of Code Section 409A, and will allow a question and answer open discussion. The lunchtime keynote speaker will be Helen Morrison, Esq., Acting Deputy Benefits Tax Counsel, Department of Treasury, Washington D.C. who will present a legislative and regulatory update.
